Acceptable Use Policy (AUP)

This Acceptable Use Policy (AUP) is a binding component of the Master Services Agreement (MSA) between LAUNCHESE LTD (the "Agent") and the Client. This policy defines the permitted and strictly prohibited uses of the Agent's services, website, and particularly the Registered Office Address, with the explicit goal of preventing criminal activity, misuse, and protecting the Agent's regulatory standing.


1. General Principles and Scope

1.1. Lawful Purposes Only

The Services provided by the Agent, including company formation, registered office address, and any administrative assistance, must be used only for lawful, legitimate, and ethical business purposes and in compliance with all applicable local, national, and international laws and regulations.

1.2. Client Responsibility

The Client is solely responsible for ensuring that the Company's activities and any content or information associated with the Services comply fully with this AUP.

2. Prohibited Conduct and Unlawful Activity

The use of the Agent's Services, website, or infrastructure for the following activities is strictly and unequivocally prohibited. Any such use constitutes a fundamental and non-remediable breach of the Master Services Agreement.

2.1. Financial Crime and Fraud

You must not use the Services:

a. In any way that is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect.

b. For the purpose of facilitating, concealing, or enabling money laundering, terrorist financing, or any activity prohibited under the Proceeds of Crime Act 2002 (POCA) or the Money Laundering Regulations 2017 (MLR 2017).

c. To promote, advocate, or assist the commission of any criminal offence, including, but not limited to, fraud, tax evasion, or bribery.

2.2. Intellectual Property (IP) Infringement and Commercial Illicit Activity

You must not use the Services, or any associated address, for the following, particularly to avoid the risk of investigation by bodies such as Trading Standards:

a. To advocate, promote, or assist any unlawful act such as copyright infringement, trade mark violation, or the sale of counterfeit, prohibited, or unlicensed goods.

b. To post, upload, or transmit any material that infringes the Intellectual Property Rights or proprietary rights of any third party.

2.3. Misrepresentation and Identity

a. To impersonate any person or entity, or to misrepresent Your identity or affiliation with any person or entity.

b. To use the Services in a manner that gives the impression that they emanate from the Agent or are endorsed by the Agent, if this is not the case.

c. To fail to maintain accurate and current contact and beneficial ownership details as required for AML compliance.

2.4. Misuse of the Registered Office Address (ROA)

a. The use of the ROA address as a general commercial address for consumer correspondence or trade is prohibited unless a separate, active Business Address Service has been explicitly purchased and approved.

b. You must not provide the ROA address to third parties for general business purposes if You do not hold an active Business Address Service with the Agent, in order to comply with local regulatory requirements, such as the London Local Authorities Act 2007.

3. Content Standards and Communication

Any content You upload, post, transmit, or communicate via the Agent's systems, website, or in relation to the Services must adhere to the following standards:

a. It must be accurate (where it states facts) and genuinely held (where it states opinions).

b. It must not be defamatory, obscene, indecent, hateful, or inflammatory.

c. It must not be threatening, abusive, or invade another's privacy, or cause annoyance, inconvenience, or needless anxiety.

d. It must not be made in breach of any legal duty owed to a third party, such as a contractual duty or a duty of confidentiality.

4. Technical Misuse and System Integrity

You agree not to use the Services in any way that violates the security or integrity of the Agent's systems or network:

a. You must not attempt to gain unauthorized access to any part of the Services, the network, or any equipment, network, or software connected to the Agent.

b. You must not misuse the Agent's technology by knowingly introducing viruses, Trojans, worms, logic bombs, or other material which is malicious or technologically harmful (a breach of this provision may constitute a criminal offense under the Computer Misuse Act 1990).

c. You must not copy or use any part of the Services in contravention of the MSA or any related agreement.

5. Enforcement and Consequences of Breach

5.1. Breach and Remedy

Any breach of this Acceptable Use Policy is deemed a fundamental breach of the Master Services Agreement (MSA), which entitles the Agent to seek full legal remedy, including but not limited to the actions outlined in Clause 5.2.

5.2. Consequences

If a breach of the AUP occurs, the Agent may take any of the following actions, immediately and without refund:

a. Immediate Withdrawal of Services: Immediate, temporary, or permanent withdrawal of Your right to use the Services and the Registered Office Address.

b. Financial Recovery: Commencement of legal proceedings against You for reimbursement of all costs on a full indemnity basis, including all administrative and legal costs resulting from the breach (see MSA Clause 3.2).

c. Regulatory Action: Disclosing Your identity, contact details, and information to law enforcement authorities (e.g., National Crime Agency, Trading Standards, Companies House, HMRC) as the Agent reasonably feels is necessary or as required by law.

d. Address Removal: Filing Companies House Form RP07 to remove the Registered Office Address from the public record.
