Who Is This For

This service is for anyone who has a registered UK company that isn't currently trading. Whether you incorporated your company and haven't started operations yet, you've paused trading temporarily, or you're holding the company for future use — you still have legal obligations. International founders who registered a UK company but haven't launched yet will find this especially useful. It's also ideal for entrepreneurs holding shelf companies or reserve company names who need to keep the company alive and compliant without the hassle of doing the filings themselves.

How It Works

1. Place your order — Select the Dormant Company Accounts service and provide your company name or number so we can look up your filing details.

2. We review your company — Our team checks your company's status at Companies House, confirms your accounting reference date, and identifies any overdue filings.

3. We prepare your accounts — We draft your AA02 dormant company accounts in the format required by Companies House, including the balance sheet and necessary notes.

4. Filed and confirmed — We submit the accounts to Companies House on your behalf and send you confirmation once they've been accepted.

Frequently Asked Questions

What does "dormant" actually mean?

A company is dormant if it has had no significant accounting transactions during the financial year. This means no trading, no income, and no expenses — apart from the fee paid to Companies House for filing the Confirmation Statement or a small filing fee. If your company hasn't done any business, it's likely dormant.

Do dormant companies still need to file accounts?

Yes, absolutely. Even if your company is completely inactive, Companies House requires you to file annual accounts every year. Failing to file on time can result in automatic penalties starting at £150 and increasing the longer you delay. After a certain period, Companies House may even strike your company off the register.

What's the difference between dormant accounts and a Confirmation Statement?

They're two separate filings. Dormant accounts (AA02) report that the company had no significant transactions during the year. The Confirmation Statement (CS01) confirms the company's registered details are up to date. Both must be filed annually — this service covers your dormant accounts. We also offer a separate Confirmation Statement service if you need that handled as well.

Do I need to tell HMRC my company is dormant?

Yes. You should notify HMRC that your company is dormant so they don't expect a Corporation Tax return. If HMRC sends you a notice to file a CT600 and you don't respond, you could face penalties even though your company isn't trading. We'll guide you through this process as part of the service.

Can I use this service if my company was formed with another provider?

Yes. This service is available to all UK limited companies, regardless of where or how they were incorporated. You don't need to be an existing Launchese customer to use it.

What if my company has been dormant for multiple years and I've missed filings?

Get in touch with us. If you have overdue filings, we can help you prepare and submit the accounts for previous years as well. The sooner you catch up, the better — Companies House penalties increase the longer filings are overdue, and prolonged non-filing puts your company at risk of being struck off.
